SEASONS, LLC Terms of Service

1. Private Membership Community

Seasons is a private membership community designed to connect women in shared life seasons. Membership is granted at our discretion and may be revoked at any time if a member violates these Terms or engages in conduct harmful to the community.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract.

3. Membership Fees & Payments

Membership fees are billed in advance and automatically renew unless canceled prior to renewal. Membership fees are non-refundable unless required by law. Event tickets are non-refundable unless Seasons cancels the event.

4. Community Conduct

Members may not (i) harass others, (ii) post unlawful content, (iii) share private member information without consent, (iv) post any materials subject to trademark, copyright, or other laws protecting any materials or data of others in the absence of a valid license or other right to do so, or (v) use the platform for solicitation or MLM recruiting. Violations may result in termination without refund.

5. Events & Assumption of Risk

By attending Events hosted by Seasons, you voluntarily assume all risks related to participation and release Seasons from claims arising from participation, except in cases of gross negligence or willful misconduct.

6. Media Release

By attending Events hosted by Seasons, you grant Seasons permission to use photographs or recordings for marketing purposes unless you opt out in writing prior to the Event. You further grant Seasons a non-exclusive, royalty-free, worldwide, perpetual license, with the rights to sub-license, to reproduce, distribute, transmit, create derivative works of, publicly display any photographs or recordings from such Event.

7. Contents and Ownership

The information contained on our mobile application and/or website, including all images, designs, photographs, writings, graphs, data, and other materials ("Materials") are the property of Seasons and are protected by copyrights, trademarks, trade secrets, or other proprietary rights. Other product and company names mentioned in the mobile application and/or website may be the trademarks of their respective owners.

8. Limitation of Liability

Seasons' total liability shall not exceed the greater of the amount paid in membership fees in the preceding 12 months or $500.

IN NO EVENT WILL WE BE LIABLE FOR (I) ANY INCIDENTAL, CONSEQUENTIAL, OR INDIRECT DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICES, OR ANY INFORMATION, OR TRANSACTIONS PROVIDED ON THE SERVICES, OR DOWNLOADED FROM THE SERVICES, OR ANY DELAY OF SUCH INFORMATION OR SERVICES. EVEN IF WE OR OUR AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE SERVICES AND/OR MATERIALS OR INFORMATION DOWNLOADED THROUGH THE SERVICES. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN SUCH STATES, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

We make no representations whatsoever about any other mobile application or website which you may access through our mobile application or website or which may link to our mobile application of website.

9. Indemnification

You agree to indemnify, defend, and hold harmless Seasons, its officers, directors, employees, agents, licensors, suppliers, and any third-party information providers to the Services from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of the Terms (including negligent or wrongful conduct) by you or any other person accessing or the Services.

10. Dispute Resolution

Any dispute or claim shall be resolved through binding arbitration in the State of Michigan rather than in court. You waive the right to a jury trial and class action participation.

11. Governing Law, Jurisdiction, and International Users

These Terms are governed by the laws of the State of Michigan, without reference to its conflict-of-law provisions. We makes no representation that the materials are appropriate or available for use outside the United States. If you access the mobile application or website from outside the United States, you will be responsible for compliance with all local laws. You agree to comply with all laws and regulations applicable to your use of our mobile application or website.

12. Modifications to Terms of Use

We may revise the Terms at any time and you agree to be bound by the revised Terms. Any such modifications will become effective on the date they are first posted our mobile application and/or website, as applicable. It is your responsibility to return to the Terms from time to time to review the most current terms and conditions and your continued Membership and/or access or use of the mobile application and/or website, as applicable, shall be deemed your conclusive acceptance of the modified terms. Seasons does not and will not assume any obligation to notify you of changes to the Terms.

13. Term and Termination

Without limiting its other remedies, we may immediately discontinue, suspend, terminate, or block your and any user's access to the mobile application or website at any time in our sole discretion. The provisions of Paragraphs 5, 7, 8, 9, 10, and 11 shall survive any termination of the Terms.
